Terms and Conditions
Gravity Marketing Agency LLC · Version 7.1 · Effective date: 28 September 2026
General Terms
1. Acceptance of Agreement
By accessing, purchasing, or using any product or service offered by Gravity Marketing Agency LLC (the "Services"), the client ("Client," "you") agrees to be bound by these Terms and Conditions. If Client does not agree, Client must not use the Services. In these Terms, "Platform" means the Gravity Marketing Suite software platform and the products delivered through it, and "Services" means everything Company offers, including the Platform and any project, setup, or agency work.
The Services are provided by Gravity Marketing Agency LLC ("Gravity," "Company," "we," "us"), a Wyoming limited liability company. All Gravity products, services, platforms, and brand names, including those offered at gravitymarketing.agency and gravitymarketingsuite.com and any subdomain of either, and including the Gravity AI Employee, are owned and operated by Gravity Marketing Agency LLC. Client’s contracting party is Gravity Marketing Agency LLC in all cases, regardless of which brand name or property Client purchased through.
2. Which Terms Apply to You
These General Terms apply to every Client. In addition, the Schedules below apply only to Clients who purchase the product each Schedule covers:
Schedule A: AI Employee (Voice AI). Applies if Client purchases the AI Employee voice answering service.
Schedule B: Conversation AI. Applies if Client purchases the Conversation AI messaging assistant.
Schedule C: Reviews AI. Applies if Client purchases the Reviews AI service.
Schedule D: WhatsApp Business. Applies if Client purchases the WhatsApp Business add-on.
Schedule E: Agency Services and Setup Work. Applies if Client purchases setup, implementation, or project work.
A Client who subscribes only to core Platform features, including website and funnel hosting, forms, calendars, pipelines, CRM, and the communications module, and who purchases no setup, implementation, or project work, accepts these General Terms and no Schedule. Setup, implementation, build, and project work of any kind, including a website or funnel build, is governed by Schedule E in addition to these General Terms, whatever else Client purchases. Where a Schedule conflicts with these General Terms as applied to the product that Schedule covers, the Schedule controls as to that product only.
3. Definitions
"Platform Usage" means consumption-based services incurred through the Platform, including voice minutes, SMS and MMS messaging, telephone number rental, carrier registration and campaign fees, call transcription, call recording and recording storage, artificial intelligence processing, workflow automation, email delivery and verification, and similar metered items.
"Platform Usage" does not include separately priced add-on modules, which are products sold at a stated monthly fee and are governed by Section 4A.3.
"Platform Credits" means the monthly allowance of Platform Usage included in Client’s plan.
"Wallet" means the prepaid balance maintained on Client’s account, used only where Platform Credits have been exhausted.
"Usage Rates" means the schedule of Platform Usage rates published by Company, as described in Section 4A.6.
"Subscription Fee" means the recurring fee for Client’s plan, inclusive of Platform Credits.
4. Fees and Billing: General
This Section applies to every Client.
4.1 Fees. Fees are those stated in Client’s plan, proposal, order form, or Schedule. Fees are payable in United States dollars unless otherwise agreed in writing.
4.2 Setup and project fees. One-time setup, implementation, and project fees are payable in advance unless otherwise agreed in writing, and work does not commence until payment is received.
4.3 Taxes. All amounts stated exclude applicable sales, use, value added, goods and services, and similar transaction taxes. Where Company or its payment processor is required to calculate and collect such taxes, they are added to the amount charged and stated separately. Where a payment processor acts as merchant of record for a transaction, that processor calculates, collects, and remits applicable transaction taxes in the jurisdictions where it is registered. Client is responsible for any taxes assessed on Client directly and for any withholding or similar obligation arising under the laws of Client’s own jurisdiction.
4.4 Payment processing. Payments are processed by Whop Inc., which acts as merchant of record for those transactions, or by another payment processor designated by Company. Client’s card or bank statement may therefore show a descriptor other than "Gravity Marketing Agency LLC," including "Whop."
4.5 Failed payments. If a payment method fails, Company may attempt to process the payment up to three (3) times. If unsuccessful, the account may be paused or suspended until payment is received.
4.6 Non-refundable payments. Setup, project, and subscription fees already charged are final and non-refundable except as required by law. Platform Credits and Wallet balances are non-refundable as set out in Sections 4A.2 and 4A.5.
4.7 Price adjustments. Company may modify recurring fees, Platform Credit allowances, and add-on module prices on at least thirty (30) days’ prior notice. Fees for work already paid for are not affected.
4.8 Disputes and chargebacks. Initiating a chargeback or payment dispute without first attempting good-faith resolution constitutes a material breach of this Agreement. Company may immediately suspend access to the Platform and to any services in progress until the dispute is resolved.
4A. Platform Subscriptions, Credits, and Usage
This Section applies only to Clients who subscribe to the Platform. A Client who purchases only project or agency services is not affected by it.
4A.1 Subscription Fee. Subscription Fees are billed automatically on a recurring basis according to Client’s plan unless otherwise agreed in writing.
4A.2 Platform Credits are included in the Subscription Fee. Client’s plan includes a monthly allowance of Platform Credits, which covers Platform Usage as incurred, including telephone number rental and carrier registration and campaign fees. Platform Credits expire at the end of each monthly billing period. Unused Platform Credits do not roll over, have no cash value, and are not refundable or exchangeable. The size of the allowance is stated in Client’s plan.
4A.3 Add-on modules. Certain features are offered as separately priced add-on modules at a stated monthly fee, in addition to the Subscription Fee. Add-on module fees are Company’s own prices for those modules and are not usage charges. Current add-on modules and their prices are set out in Client’s plan.
4A.4 Overage and the Wallet. Where Client’s Platform Usage exhausts the Platform Credits included in a billing period, further Platform Usage is billed to the Wallet. Client authorizes Company to automatically charge Client’s payment method on file in the amount of fifty United States dollars (US$50.00) whenever the Wallet balance falls below ten United States dollars (US$10.00). Client may review usage, credit consumption, and recharge activity at any time, may update the payment method, and may change or disable automatic recharge at any time through Client’s account settings. Company may adjust default recharge amounts and thresholds on thirty (30) days’ prior notice.
4A.5 Unused Wallet balance. Wallet balances are applied against Platform Usage as incurred. Unused Wallet balances are non-refundable and have no cash value on termination or cancellation. Client may avoid accumulating an unused balance by disabling automatic recharge, in which case Platform Usage beyond the included Platform Credits will be unavailable until the Wallet is funded.
4A.6 Usage Rates. Rates for Platform Usage are set out in the Usage Rates, which are incorporated into this Agreement by reference. Company supplies the Usage Rates to Client before Client subscribes, keeps them available to Client online in the Usage Rates (gravitymarketing.agency/usage-rates), and provides a copy on request. Rates vary by plan and by region. The Usage Rates in effect at the time Platform Usage is incurred govern that usage.
4A.7 Platform Usage rate changes. Company may update the Usage Rates on thirty (30) days’ prior notice. Rates set by underlying carriers, regulators, and platform suppliers may change without notice from Company, and Company will apply any such change as it takes effect.
4A.8 Fair use. Company’s pricing assumes usage typical for Client’s business type and industry. Where Client’s usage materially exceeds that level, Company may, on thirty (30) days’ prior written notice, adjust Client’s Subscription Fee, adjust Client’s Platform Credit allowance, or bill the excess separately.
5. Cancellation and Transition
This Section applies to Platform subscriptions. Project and agency work concludes under Schedule E and is not cancelled under this Section.
5.1 Cancellation. Client may cancel at any time through the billing section of the Platform. Cancellation becomes effective at the end of the current billing cycle. Company recommends at least thirty (30) calendar days’ prior notice to facilitate an orderly transition.
5.2 Transition tasks. The notice period allows coordination of technical tasks including, without limitation, data export, domain transfer or DNS adjustments, email or website disconnection, and removal of active integrations including social platforms, messaging services, phone systems, and automations. Technical transition services are not included in the Subscription Fee and may incur additional fees. If Client performs technical modifications independently, Company is not liable for service interruptions, data loss, or operational issues resulting from those actions.
5.3 Account retention. On cancellation Company pauses the account and retains the account and its data for thirty (30) days, during which reactivation is available. After that period Company may permanently delete the account and its data.
5.4 Telephone numbers. Telephone numbers provisioned for Client through the Platform are obtained from the underlying carrier and are used exclusively for Client’s business. On cancellation, Client may request that any such number be ported to another carrier, and Company will provide the information reasonably required to complete the port, provided Client’s account is in good standing and all amounts owing have been paid. Portability is determined by the carriers involved and Company does not guarantee that any given number can be ported. Numbers not ported within thirty (30) days of cancellation may be released.
6. Intellectual Property and Data
6.1 Platform ownership. The Platform, including software, architecture, templates, automation frameworks, methodologies, campaign structures, prompts, proprietary configurations, and related know-how, is the exclusive property of Gravity Marketing Agency LLC. Company grants Client a non-exclusive, non-transferable right to access and use the Platform as a hosted service operated by Company, for as long as Client’s subscription is active. No copy of the Platform, and no component of it, is delivered, licensed, or otherwise made available to Client for use independently of that hosted service.
6.2 Client data. All data uploaded by Client, including contact lists, uploaded content, and proprietary materials, remains the property of Client. Provided the account is in good standing, Client may request reasonable export of available data in formats supported by the Platform. Company is not obligated to recreate proprietary structures, automations, frameworks, or system configurations outside the Platform environment.
6.3 Domain ownership. If a domain is registered in Client’s name with its registrar, ownership remains with Client. Company’s administrative or DNS management access does not transfer ownership.
7. Artificial Intelligence Features
The Platform includes artificial intelligence features, including conversational agents, content generation, and automated workflows. Client acknowledges that:
AI features respond based on the information and configuration Client provides. Inaccurate, incomplete, or outdated information produces inaccurate output.
AI systems can produce incorrect, incomplete, or unexpected output. Company does not warrant that AI features will be error-free.
Client is responsible for reviewing AI output before relying on it or publishing it, and for the consequences of any output Client causes to be sent to third parties.
Company is not liable for any loss, damage, missed opportunity, reputational harm, or business consequence arising from AI output.
AI features are a business tool and not a substitute for Client’s own judgment, and should not be relied on for emergency, safety-critical, medical, or legally consequential communications.
8. Third-Party Providers
The Platform integrates with and depends on third-party providers, including platform infrastructure providers, telephony and messaging carriers, artificial intelligence model providers, social and advertising platforms, email providers, cloud hosting, content delivery and DNS networks, and payment processors. Client is responsible for maintaining any accounts Client holds directly with such providers and for paying any fees owed directly to them.
Company’s obligation with respect to the Platform is limited to configuring, maintaining, and supporting it using commercially reasonable efforts. Company is not liable for the acts, omissions, errors, outputs, defects, interruptions, security incidents, pricing or policy changes, or failures of any third-party provider.
Company does not warrant the continued availability of any third-party provider or feature. Where a third-party provider discontinues, materially changes, or materially reprices a service on which the Platform depends, Company may substitute a comparable provider or, on thirty (30) days’ written notice, discontinue the affected feature. Company does not guarantee any uptime percentage or service level unless expressly agreed in a separate written service level agreement.
9. Client Responsibilities
Client agrees to provide timely and accurate information; maintain compatible hardware, software, and internet access; attend scheduled meetings where applicable; obtain any consent legally required to contact or message its own customers; and comply with all applicable laws and regulations, including marketing, advertising, telecommunications, and data protection laws in every jurisdiction where Client and its customers are located.
10. Acceptable Use and Suspension
Company may suspend or terminate access immediately if Client engages in illegal activity, violates applicable law, compromises Platform security, or creates technical or reputational risk. Automated abuse, exploitation, security testing, and usage inconsistent with normal operation of Client’s business are not permitted. Client will not resell or sublicense the Platform without Company’s written agreement. Capacity-related fair use is addressed separately in Section 4A.8.
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and non-public information exchanged during the business relationship, and to use it only for purposes of this Agreement.
12. Force Majeure
Company is not liable for delays or failures caused by events beyond its reasonable control, including third-party service failures, internet or infrastructure outages, regulatory changes, cyberattacks, and natural disasters.
13. Disclaimer of Warranties
The Platform and all other Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Company does not guarantee specific results or performance outcomes, and does not guarantee uninterrupted or error-free operation.
14. Limitation of Liability
14.1 Exclusion of indirect damages. To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost revenue, lost profits, lost business opportunities, loss of goodwill, or loss of data, whether or not that party was advised of the possibility of such damages and regardless of the theory of liability.
14.2 Cap on direct damages. To the maximum extent permitted by law, each party’s total cumulative liability arising out of or relating to these Terms, the Platform, or any other Services, whether in contract, tort, statute, or otherwise, shall not exceed the total amounts paid by Client to Company in the twelve (12) months immediately preceding the event giving rise to the claim.
14.3 Exceptions. The exclusion in Section 14.1 and the cap in Section 14.2 do not apply to: (a) either party’s gross negligence, willful misconduct, or fraud; (b) Client’s indemnification obligations under Section 15; (c) Client’s payment obligations, including Platform Usage properly incurred; (d) either party’s breach of its confidentiality obligations under Section 11; (e) Client’s breach of Section 9 in respect of consent, telecommunications, or data protection law; or (f) infringement or misappropriation of Company’s intellectual property under Section 6.
14.4 Allocation of risk. Client acknowledges that the fees for the Platform reflect this allocation of risk, that the limitations in this Section are a material basis of the bargain between the parties, and that Company would not provide the Platform at the stated fees without them. These limitations apply notwithstanding the failure of any limited remedy of its essential purpose.
15. Indemnification
Client will indemnify, defend, and hold harmless Company from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys’ fees, arising out of or relating to Client’s use of the Platform, Client’s content and data, Client’s communications with its own customers, or Client’s violation of applicable law, including telecommunications, recording, consent, marketing, and data protection obligations.
16. Termination for Breach
Either party may terminate this Agreement if the other materially breaches these Terms and fails to cure the breach within fourteen (14) days after written notice.
17. Legal Compliance and Data Security
Client is solely responsible for ensuring that its use of the Platform complies with all applicable local, state, federal, and international laws. Company implements reasonable security measures to protect Client data but is not liable for unauthorized access beyond its reasonable control; no system is perfectly secure. Company’s handling of personal information is described in the Privacy Policy, which is incorporated by reference.
18. Assignment; Marketing Rights
Client may not assign or transfer rights or obligations under this Agreement without Company’s prior written consent. Company may reference Client’s name and a general description of services provided in its portfolio and marketing materials unless Client requests otherwise in writing.
19. Support
19.1 Scope. Company provides reasonable technical support related solely to Platform functionality. Support does not include strategic consulting, advanced training, additional implementations, complex custom development, or direct management of third-party tools.
19.2 Channels and response times. Support is provided through official channels designated by Company, including the support form at gravitymarketingsuite.com/support and [email protected]. Responses are generally provided within one to two (1–2) business days. This timeframe is indicative only and does not constitute a guaranteed response commitment.
19.3 Maintenance. Company may perform updates, improvements, or maintenance as deemed necessary. Temporary interruptions may occur.
19.4 No service level commitment. Support does not constitute a guarantee of continuous availability and does not create a Service Level Agreement unless expressly agreed in writing.
20. Governing Law and Dispute Resolution
20.1 Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.
20.2 Informal resolution first. Before initiating arbitration, the party raising a dispute will give the other written notice describing the dispute and the relief sought, and the parties will attempt in good faith to resolve it for thirty (30) days from the date of that notice.
20.3 Binding arbitration. Any dispute not resolved under Section 20.2 shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of the arbitration shall be Miami-Dade County, Florida, USA. Hearings, conferences, and any evidentiary proceedings shall be conducted remotely by videoconference unless the parties agree otherwise in writing. The language of the arbitration shall be English. Judgment on the award may be entered in any court of competent jurisdiction.
20.4 Waivers. Both parties waive trial by jury and waive participation in any class, collective, consolidated, or representative action.
20.5 Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
20.6 Disputes below the threshold amount. For any dispute in which the total amount in controversy is less than ten thousand United States dollars (US$10,000), the parties will first attempt resolution under Section 20.2 and, if the dispute remains unresolved, will submit it to non-binding mediation administered by the American Arbitration Association, conducted remotely, before either party initiates arbitration. Where such a dispute proceeds to arbitration, Company will advance the American Arbitration Association’s administrative fees and the arbitrator’s compensation, subject to reallocation by the arbitrator in the award if the arbitrator determines that a claim or defence was frivolous or brought for an improper purpose. This Section does not limit either party’s rights under Section 20.5.
21. Modifications to Terms
Company may modify these Terms. In the event of material changes, Client will be notified by reasonable means. Continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms.
22. Severability; No Waiver
If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce any provision does not constitute a waiver of that provision or any other right.
23. Order of Precedence; Entire Agreement
These General Terms, together with the Usage Rates, the Privacy Policy, and any Schedule applicable to Client under Section 2, constitute the agreement between the parties with respect to the Platform.
Where Client has signed a separate proposal, order form, or service agreement with Company, that signed document governs the specific commercial terms it expressly addresses, including fees, plan inclusions, allowances, and term, and these Terms govern all other matters. On any matter not expressly addressed in the signed document, these Terms control. Where a Schedule addresses a matter specifically for a particular product, that Schedule controls as to that product, as stated in Section 2.
Language. These Terms, the Privacy Policy, and the Website Terms of Use are published in English and in Spanish. The Spanish versions are translations provided for convenience. If the two versions differ, the English version governs.
24. Contact
Gravity Marketing Agency LLC · 34 N Franklin Ave, Pinedale, WY 82941 · +1 (307) 323-4123 · [email protected]
Schedule A: AI Employee (Voice AI)
Applies only to Clients who purchase the AI Employee. Read together with the General Terms.
A1. What the Service is
The AI Employee is an artificial-intelligence communication assistant that answers calls, texts, and messages on Client’s behalf, qualifies leads, books appointments, logs interactions, and performs related automations, configured and trained on the business information Client provides. It is delivered through the Platform and its telephony and messaging providers, and includes use of core Platform features required to operate it, including calendars, contact records, automations, and notifications.
A2. Free Trial and Billing
A2.1 No charge at signup. Company collects a payment method at signup but does not charge it that day.
A2.2 Trial period. The free trial begins on the date Client provides a payment method and runs for ten (10) days, extended where Section A2.3 requires.
A2.3 Setup, live service, and deferral of the first charge. Setup and activation typically take two to three days from the start of the trial, provided Client promptly supplies the information and access Company requests, as described in Schedule E section E4.1. Client will receive at least seven (7) days of live Service before any charge is made. Where live Service is available for fewer than seven days within the initial ten-day period, the first charge is deferred until Client has received seven days of live Service. This deferral does not apply to days lost through Client’s failure to supply information, access, or approvals; those reduce the live days available within the trial without deferring the charge.
A2.4 What Client will be charged, and when. If Client does not cancel before the trial ends, Client’s payment method will be charged a one-time setup fee of nine hundred ninety-seven United States dollars (US$997.00) and the first monthly fee of four hundred ninety-seven United States dollars (US$497.00), and thereafter US$497.00 per month recurring until canceled.
A2.5 Pre-charge reminder. Company notifies Client at least three (3) days before the trial ends and the payment method is first charged. The notice states the amounts that will be charged and how to cancel.
A2.6 What the monthly fee includes. The monthly fee includes Client’s Platform Credit allowance under General Terms Section 4A.2, which covers Platform Usage generated by the Service, including voice minutes, messaging, artificial-intelligence processing, telephone number rental, and carrier registration and campaign fees. Platform Credits expire monthly and do not roll over. Where Client’s usage exhausts the allowance, General Terms Section 4A.4 applies and the Wallet is charged. The monthly fee is a Subscription Fee, and Client is a Platform subscriber for the purposes of General Terms Section 4A.
A2.7 Payment processing. Setup fees, monthly fees, and Wallet recharges for the AI Employee are processed by Whop Inc., which acts as merchant of record. Client’s statement may show "Whop" rather than "Gravity Marketing Agency LLC."
A2.8 Telecommunications Charges. Voice minutes, SMS and MMS messaging, telephone number rental, carrier registration and campaign fees, call transcription, call recording and recording storage, and all other charges appearing under the telephony category of the Platform’s billing (together, "Telecommunications Charges") are third-party costs incurred on Client’s behalf. For Clients billed in the United States, Company passes Telecommunications Charges through at Company’s cost plus a processing fee of five percent (5%) of that cost, which Company retains to cover payment processing and related costs. Company retains no other amount on them, and the Usage Rates show these charges with the processing fee included. For Clients billed in other regions, Telecommunications Charges are billed at the rates for that region in the Usage Rates. Company acts as a billing intermediary in respect of Telecommunications Charges and does not resell telecommunications services.
A3. Trial Scope, Carrier Registration, and Website Requirement
A3.1 Voice only during the trial. During the free trial the Service operates as voice answering only. Customer booking confirmations are delivered by email.
A3.2 Carrier registration. Customer-facing text messaging requires carrier registration (A2P 10DLC) under Client’s own legal entity and employer identification number. Company prepares and files that registration on Client’s behalf as part of setup, based on information Client supplies through the form Company provides. Registration typically takes several days to clear and is decided by the carriers, not by Company. Text messaging activates once registration is complete.
A3.3 What Client must provide. Carrier registration requires a public website belonging to Client that hosts a privacy policy and messaging-consent language. Providing that website, privacy policy, or consent language is not included in the setup fee. Where Client does not have them, Company can supply them as separately priced services. Any privacy policy, consent language, or similar document Company supplies is provided as a template. Client is responsible for its accuracy and its fit to Client’s business, and Company does not provide legal advice.
A3.4 Effect. Where Client does not provide what Section A3.3 requires, carrier registration cannot be filed or cannot clear, text messaging remains unavailable, and the Service continues to operate as voice answering only. This does not reduce or refund any fee. Voice answering is unaffected.
A4. Cancellation and Refunds
A4.1 Cancel anytime. Month-to-month, no minimum term. Cancel at any time through the billing settings of the account. Cancellation is effective at the end of the current billing cycle.
A4.2 Cancel during the trial and pay nothing. If Client cancels before the trial ends, Client is not charged the setup fee or any monthly fee.
A4.3 After the trial, fees are non-refundable. Once the trial converts and Client is charged, the setup fee and any monthly fees already charged are final and non-refundable except as required by law, because the Service is built and configured specifically for Client’s business. Cancellation stops future charges; it does not refund a period already begun. Platform Credits and Wallet balances are non-refundable under General Terms Sections 4A.2 and 4A.5.
A5. AI Accuracy, Errors, and Limitations
The Service uses artificial intelligence to conduct conversations. Client acknowledges and agrees that:
The AI responds based on the business information Client provides. Inaccurate, incomplete, or outdated information produces inaccurate responses. Client is responsible for the accuracy and currency of the information supplied.
AI systems can produce incorrect, incomplete, or unexpected output, including stating inaccurate information, misinterpreting a caller, or failing to capture information correctly. Company does not warrant that the AI will be error-free or that every interaction will be handled correctly.
The AI is configured not to invent pricing, policies, or commitments Client has not provided, but no such configuration is perfect.
Client is responsible for reviewing the Service’s performance, including call recordings and transcripts made available, and for notifying Company of errors so they can be corrected.
Company is not liable for any loss, damage, missed opportunity, customer dissatisfaction, reputational harm, or business consequence arising from AI output, misrouted or mishandled calls, incorrect information conveyed to a caller, or appointments booked, missed, or incorrectly scheduled.
The Service is a business tool and not a substitute for Client’s own judgment. It must not be relied on for emergency, safety-critical, medical, or legally consequential communications.
A6. Service Dependencies and Outages
The Service depends on third-party infrastructure outside Company’s control, including platform providers, telephony and SMS carriers, cloud hosting, internet infrastructure, content delivery and DNS networks, and AI model providers. A failure, degradation, or outage of any of these may interrupt or disable the Service, in whole or in part, with or without notice. Company guarantees no uptime percentage absent a separate written service level agreement and is not liable for calls missed, delayed, dropped, or mishandled during any outage or degradation, whether caused by Company, a third party, or general internet conditions. Company configures failover routing to a number Client designates; Client is responsible for providing and maintaining a valid failover number and for monitoring its own business communications.
A7. Call Recording and Consent
The Service records and transcribes calls and messages handled on Client’s behalf. As a standard feature, the Service delivers a recording disclosure to callers and requests messaging consent where applicable, on every implementation, in every state. Notwithstanding this built-in disclosure, Client remains responsible for complying with all applicable recording, wiretap, and consent laws in every jurisdiction where Client and its callers are located.
Call recordings are stored for ninety (90) days from the date of the call and are then deleted automatically. Client is responsible for downloading and keeping any recording it needs for longer, including any recording it is required by law to retain.
A8. AI Disclosure and Honesty
The assistant is an AI and does not misrepresent itself as human. If a caller asks whether they are speaking to a person, it answers honestly. Client will not configure or request the Service to deny it is an AI where such denial would be unlawful or deceptive.
A9. Messaging Compliance
The Service may send SMS or text messages to Client’s customers on Client’s behalf and requests SMS consent from callers as a standard feature. Client remains responsible for ensuring it has any legally required consent to message its customers and for complying with all applicable communication, telemarketing, and anti-spam laws, including the federal Telephone Consumer Protection Act and the CAN-SPAM Act and applicable state telemarketing statutes. Text messaging requires carrier registration (A2P 10DLC), which Company files on Client’s behalf based on information Client provides; Client is responsible for that information’s accuracy.
A10. Telephone Numbers
Telephone numbers provisioned for Client through the Service are obtained from the underlying carrier and used exclusively for Client’s business. Number rental and carrier registration fees are covered by Client’s Platform Credit allowance.
A11. No Guarantee of Results
Company does not guarantee any specific business result, including calls answered, leads captured, appointments booked, or revenue earned. Results depend on factors outside Company’s control.
Schedule B: Conversation AI
Applies only to Clients who purchase Conversation AI. Read together with the General Terms.
B1. What the Service is
Conversation AI is an artificial-intelligence messaging assistant that responds to inbound messages across connected channels, including SMS, web chat, and social messaging, qualifies leads, books appointments, and logs interactions, configured and trained on the business information Client provides. It does not answer telephone calls; voice answering is the AI Employee, governed by Schedule A.
B2. Fees
Conversation AI is offered as an add-on module at a stated monthly fee under General Terms Section 4A.3, or as an inclusion in Client’s plan, as set out in Client’s plan and the Usage Rates. Message volume and artificial-intelligence processing are Platform Usage covered by Client’s Platform Credit allowance under General Terms Section 4A.2.
B3. AI Accuracy and Limitations
Client acknowledges that Conversation AI responds based on the information and configuration Client provides; that inaccurate, incomplete, or outdated information produces inaccurate responses; that AI systems can produce incorrect, incomplete, or unexpected output; and that Company does not warrant error-free operation. Client is responsible for reviewing the assistant’s performance and reporting errors. Company is not liable for any loss, damage, missed opportunity, customer dissatisfaction, reputational harm, or business consequence arising from AI output, including messages sent to Client’s customers. Conversation AI must not be relied on for emergency, safety-critical, medical, or legally consequential communications.
B4. AI Disclosure
The assistant is an AI and does not misrepresent itself as human. If a customer asks whether they are messaging a person, it answers honestly. Client will not configure it to deny being an AI where such denial would be unlawful or deceptive.
B5. Messaging Compliance
Client is responsible for obtaining any legally required consent to message its customers and for complying with the federal Telephone Consumer Protection Act, the CAN-SPAM Act, applicable state telemarketing statutes, and the terms of any connected third-party messaging platform. Automated messaging to United States numbers may require carrier registration (A2P 10DLC) under Client’s own legal entity and employer identification number, which Company files on Client’s behalf based on information Client provides. Client is responsible for the accuracy of that information, and registration is decided by the carriers, not by Company.
Schedule C: Reviews AI
Applies only to Clients who purchase Reviews AI. Read together with the General Terms.
C1. What the Service is
Reviews AI requests reviews from Client’s customers, monitors reviews across connected platforms, and generates suggested responses for Client’s approval or, where Client enables it, publishes responses automatically.
C2. Fees
Reviews AI is offered as an add-on module at a stated monthly fee under General Terms Section 4A.3, or as an inclusion in Client’s plan. Messaging and artificial-intelligence processing generated by the Service are Platform Usage covered by Client’s Platform Credit allowance.
C3. AI Accuracy and Published Responses
Suggested and automatically published responses are generated by artificial intelligence and may be incorrect, inappropriate, or unsuitable for the review they answer. Where Client enables automatic publication, Client accepts that responses are published in Client’s name without prior human review, and Client is solely responsible for their content. Company is not liable for any loss, damage, reputational harm, or business consequence arising from a published response. Company recommends that responses be reviewed before publication.
C4. Review Platform Policies
Review platforms impose their own rules on how reviews may be solicited, including restrictions on incentivising reviews and on selectively soliciting only customers expected to leave positive reviews. Client is solely responsible for ensuring its use of the Service complies with the policies of every platform on which its reviews appear, and with applicable consumer-protection and advertising law including the Federal Trade Commission’s rules on consumer reviews and testimonials. Company does not warrant that any particular use of the Service complies with any platform’s policies, and is not liable for the removal, suppression, or penalisation of Client’s reviews or listings.
Schedule D: WhatsApp Business
Applies only to Clients who purchase the WhatsApp Business add-on. Read together with the General Terms.
D1. What it is
The WhatsApp Business add-on connects Client’s WhatsApp Business account to the Platform, enabling WhatsApp messages to be sent and received through the Platform’s communications module and used in automations.
D2. Fees
The WhatsApp Business add-on is a separately priced add-on module under General Terms Section 4A.3, billed at Company’s stated monthly price in addition to the Subscription Fee. It is a product sold by Company at Company’s own price and is not a Platform Usage charge or a pass-through of a third-party cost. Message volume sent through the connection is Platform Usage covered by Client’s Platform Credit allowance.
D3. Third-Party Terms
The add-on depends on WhatsApp Business services operated by Meta. Client is responsible for maintaining its WhatsApp Business account in good standing and for complying with Meta’s WhatsApp Business Messaging Policy and Commerce Policy, including rules on opt-in, message templates, and permitted content. Company is not liable for the suspension, restriction, or termination of Client’s WhatsApp Business account, for the rejection of message templates, or for any change to Meta’s pricing, policies, or availability. Where Meta discontinues or materially changes the service, General Terms Section 8 applies.
D4. Consent
WhatsApp requires that recipients opt in before receiving business messages. Client is solely responsible for obtaining and maintaining records of that consent.
Schedule E: Agency Services and Setup Work
Applies to Clients who purchase setup, implementation, or project work. Read together with the General Terms.
E1. What this Schedule covers
This Schedule governs one-time and project-based work performed by Company, including Platform setup and implementation, comprising workflow and automation build, contact and database import, calendar configuration, pipeline and opportunity setup, form and survey build, and connection of third-party accounts including Meta platforms; website and funnel build; and any other work described in a proposal, order form, or statement of work agreed between the parties.
AI Employee setup and configuration is governed by Schedule A and not by this Schedule, except that Section E4.1 defines what Company requires from Client for the purposes of Schedule A section A2.3. Recurring subscriptions and Platform Usage are governed by General Terms Section 4A and are separate from the work covered here. Where a deliverable requires ongoing services to remain live, including website and funnel hosting, domain registration and renewal, and email or messaging delivery, those services are supplied under Client’s subscription and billed under General Terms Section 4A, not under this Schedule. A deliverable ceases to be hosted or maintained when the subscription ends.
E2. Scope
E2.1 Scope is what is written. The services to be performed are limited to those expressly described in the applicable proposal, order form, or statement of work. Anything not described there is out of scope. Out-of-scope work requires a separate written agreement and additional fees.
E2.2 Change requests. Client may request changes to scope in writing. Company will confirm any resulting change to fees or timeline in writing before performing the changed work, and is not obliged to accept a change request.
E3. Fees
Fees for work under this Schedule are stated in the applicable proposal or order form and are payable in advance under General Terms Section 4.2. Where the work is sold together with a subscription, the setup fee and the subscription fee are separate amounts, and cancellation of the subscription does not refund the setup fee. Fees are non-refundable once work has commenced, except as required by law.
E4. Client Dependencies
E4.1 What Company needs from Client. Delivery depends on Client providing, promptly and accurately: business information, content, and branding materials; access credentials and administrative permissions for third-party accounts including advertising, social, review, email, domain, and hosting platforms; contact and customer data in a usable format; approvals and feedback within the timeframes agreed; and a designated point of contact authorised to give approvals.
E4.2 Effect of delay. Timelines are estimates and run from the date Client has supplied everything listed in E4.1. Delay caused by Client does not extend any free trial period, does not entitle Client to a refund or fee reduction, and may require rescheduling. Where a project is delayed by Client for more than thirty (30) consecutive days, Company may treat the work as complete as delivered and invoice any unbilled balance, or may charge a reasonable restart fee to resume.
E5. Revisions and Acceptance
E5.1 Revisions. Unless the proposal states otherwise, Client is entitled to two (2) rounds of revisions on each deliverable. Further revisions, and revisions arising from a change to Client’s requirements after work has begun, are chargeable, and Company will quote the fee and agree it with Client in writing before performing that work.
E5.2 Acceptance. Company will notify Client when a deliverable is ready for review. Client has seven (7) days from that notice to accept it or to identify, in writing and with reasonable particularity, any respect in which it does not conform to the agreed scope. A deliverable not rejected in writing within that period is deemed accepted. Deemed acceptance does not affect Company’s obligation to correct defects reported later, which Company will address as part of support where the deliverable does not conform to the agreed scope.
E6. Client Data and Imports
Client is responsible for the accuracy, legality, and completeness of data supplied for import, and for having the right to provide it, including any consent required to contact the individuals in it. Company imports data as supplied and does not verify it. Where supplied data is incomplete, duplicated, or malformed, Company will notify Client, and cleaning or reformatting is out of scope unless expressly included in the proposal.
E7. Third-Party Accounts and Integrations
Where the work involves connecting third-party accounts, including Meta platforms, Google services, email or domain providers, or payment processors, those accounts remain Client’s property and Client’s responsibility. Client is responsible for maintaining them in good standing and for complying with each provider’s terms and policies. Company is not liable for the suspension, restriction, rejection, or termination of any Client account by a third-party provider, for changes to a provider’s policies, features, pricing, or availability, or for any consequence of a connection being broken by a change outside Company’s control.
Where Client grants Company administrative access to an account for the purpose of performing the work, Company will use that access only as required to perform the work, and Client may revoke it at any time. Revoking access before completion is a Client delay under Section E4.2.
E8. Intellectual Property in Deliverables
E8.1 What Client owns. Client’s data, contact records, content, copy, images, and branding materials remain Client’s property. Where Company creates copy, images, or design assets specifically for Client and Client has paid for them in full, those specific assets belong to Client on payment.
E8.2 What Company owns. Automations, workflows, pipeline and calendar configurations, prompts, templates, snapshots, system architecture, and methodologies built or applied on the Platform are Company’s property under General Terms Section 6.1, whether created before or during the engagement. Client receives a non-exclusive, non-transferable right to use them within the hosted Platform for Client’s own business for as long as Client’s subscription is active. Nothing in this Schedule delivers them to Client or makes them usable outside the Platform.
E8.3 On termination. Client may export its own data under General Terms Section 6.2. Company is not obliged to export, recreate, document, or transfer automations, workflows, configurations, or snapshots outside the Platform environment.
E9. No Guarantee of Results
Company does not guarantee any specific business outcome from the work, including leads, appointments, conversions, search rankings, or revenue. Results depend on Client’s market, offer, pricing, follow-up, and factors outside Company’s control. Any example, projection, or case study shown before purchase illustrates what has been achieved elsewhere and is not a representation of what Client will achieve.
E10. Completion and Ongoing Support
Work under this Schedule is complete on acceptance under Section E5.2. After completion, Company provides support in accordance with General Terms Section 19 for Clients with an active subscription. Support covers Platform functionality and correction of deliverables that do not conform to the agreed scope. It does not include new work, strategy, restructuring, additional builds, or ongoing management, which are chargeable separately.
